Matter Description

Brief Description of Legal Issue
We entered into an agreement with Vertex Solutions LLC in September 2025 for them to develop custom inventory management software for our sustainable packaging business. The contract price was $180,000, payable in three installments. We paid $120,000 (the first two installments).
The software was delivered on January 15, 2026, but it doesn't work properly. The inventory tracking feature miscounts items by 15-20%, and the system crashes whenever we try to generate reports with more than 500 line items. We've complained multiple times, but Vertex says the software meets the contract specifications and is demanding the final $60,000 payment.
We need help figuring out our options. Can we terminate the contract? Can we get our money back? What if they sue us for the remaining payment?
