Daniel,
We've been testing the inventory software you delivered last week and have encountered several significant problems.
First, the inventory counts are consistently off. When we enter 100 units of our EcoPack-500 containers, the system shows anywhere from 82 to 117 units. We've tested this multiple times with different products and the discrepancy ranges from 15-20%. This is unacceptable for an inventory management system.
Second, the reporting feature crashes every time we try to generate a report with more than about 500 line items. Given that we have over 2,000 SKUs, this makes the reporting function essentially useless.
Please advise on how you plan to fix these issues.

Thanks for reaching out. I've asked our lead developer, Priya Sharma, to look into the issues you've described.
Regarding the inventory count discrepancy, can you send us the specific steps you're taking when entering inventory? It's possible there's a user error or a configuration issue on your end.
As for the reporting function, the specifications in Exhibit A don't specify a minimum number of line items for reports. Our system was designed to handle standard reporting loads. If you need enterprise-level reporting capabilities, that would require additional development work.

Daniel,
I'm troubled by your response. This is not user error. We've had three different employees test the system following your documentation exactly, and all experienced the same counting errors.
And regarding the reports—we have three warehouses and over 2,000 products. Any reasonable inventory system should be able to generate a report covering our inventory. The spec says the software should create "custom reports based on user-selected parameters." A report of our full inventory is a basic user-selected parameter.
We need these issues fixed. The whole point of this software was to replace our manual spreadsheet tracking. Right now, the spreadsheets are more accurate.

Maya,
Our developer has reviewed the system and confirms it is functioning as designed. The inventory tracking meets the specification requirement to "maintain accuracy within acceptable industry tolerances." Some variance is normal in inventory systems due to rounding and data synchronization.
The reporting function also works as specified for standard report sizes. Enterprise-scale reporting was not part of the original scope.
We consider the software delivered and conforming to the contract. Please remit the final payment of $60,000 at your earliest convenience.
These are not minor issues or "acceptable tolerances." A 15-20% error rate in inventory tracking is a fundamental failure of the software's core function. And a reporting system that cannot report on our actual inventory is not fit for purpose.
Under Section 2.3 of the Agreement, you have fifteen (15) days from this notice to cure these defects. If the defects are not cured, we will exercise our rights under Section 6.
We remain willing to work with you to resolve this, but we cannot pay for software that doesn't work.

Maya,
We have reviewed your documentation and maintain our position that the software meets the contract specifications. The "acceptable industry tolerances" language in the specifications provides reasonable flexibility, and your interpretation of the reporting requirements is not supported by the contract language.
We have substantially performed under the Agreement and are entitled to the final payment. Your refusal to pay constitutes a material breach.
Demand is hereby made for payment of $60,000 within ten (10) business days. If payment is not received, we will have no choice but to pursue all legal remedies available to us, including litigation to recover the balance owed plus interest and attorneys' fees as provided in Section 8.4.
