FINAL JUDGMENT
On March 30, 2026, this case was called for trial. Plaintiff Vertex Solutions LLC appeared by and through its attorneys of record, Harrison & Cole LLP. Defendant GreenLeaf Technologies, Inc. appeared by and through its attorneys of record, Thornfield & Associates, LLP.
A jury was duly empaneled and sworn. The parties announced ready, and evidence was presented. At the conclusion of the evidence, the case was submitted to the jury on written questions. The jury returned its verdict on April 1, 2026.
The Court, having considered the jury's verdict, the evidence, and the applicable law, enters the following judgment:
IT IS ORDERED, ADJUDGED, AND DECREED:
1. Plaintiff's Claims
Plaintiff Vertex Solutions LLC shall TAKE NOTHING on its claims for breach of contract and quantum meruit against Defendant GreenLeaf Technologies, Inc.
2. Defendant's Counterclaims
Defendant and Counter-Plaintiff GreenLeaf Technologies, Inc. shall RECOVER from Plaintiff and Counter-Defendant Vertex Solutions LLC:

3. Court Costs
All costs of court are assessed against Plaintiff Vertex Solutions LLC.
4. Post-Judgment Interest
Post-judgment interest shall accrue on all amounts awarded at the rate of 7.25% per annum, compounded annually, from the date of this judgment until paid in full.
5. Conditional Appellate Attorneys' Fees
If Plaintiff Vertex Solutions LLC appeals this judgment to the Court of Appeals and Defendant GreenLeaf Technologies, Inc. prevails on appeal, Defendant shall additionally recover $10,000.00 in appellate attorneys' fees.
If Plaintiff Vertex Solutions LLC files a petition for review with the Supreme Court of Texas and Defendant GreenLeaf Technologies, Inc. prevails, Defendant shall additionally recover $5,000.00 in attorneys' fees.
6. Enforcement
This judgment may be enforced by any lawful means, including writ of execution, abstract of judgment, garnishment, turnover order, or other appropriate remedy.
Findings
The Court finds that:
- The jury's finding that Vertex Solutions LLC materially breached the Software Development Agreement is supported by legally sufficient evidence.
- The jury's finding that Vertex's material breach occurred before GreenLeaf's refusal to pay is supported by legally sufficient evidence.
- The jury's damages award of $95,000.00—representing $120,000 paid by GreenLeaf less $25,000 in value received from the partially conforming software—is supported by legally sufficient evidence.
- Under the "prior material breach" doctrine, GreenLeaf's non-payment was justified by Vertex's prior material breach, and Vertex cannot recover for GreenLeaf's subsequent non-performance.
- Pursuant to Section 8.4 of the Agreement, the prevailing party is entitled to reasonable attorneys' fees. GreenLeaf is the prevailing party.
All relief not expressly granted herein is DENIED.
This is a FINAL JUDGMENT disposing of all parties and all claims.
