TO THE HONORABLE COURT AND ALL PARTIES OF RECORD:

Plaintiff Vertex Solutions LLC ("Appellant") hereby gives notice of appeal from the Final Judgment signed on April 1, 2026, in the above-styled and numbered cause.

1. Judgment Appealed

Appellant appeals from the Final Judgment signed by the Honorable Patricia Sandoval on April 1, 2026, which:

  1. Awarded Defendant GreenLeaf Technologies, Inc. $95,000.00 in actual damages on its counterclaims;
  2. Awarded Defendant prejudgment interest in the amount of $637.67;
  3. Awarded Defendant attorneys' fees in the amount of $31,350.00;
  4. Ordered Plaintiff to take nothing on its claims; and
  5. Assessed all costs against Plaintiff.

2. Appellate Court

This appeal is taken to the Third Court of Appeals, Austin, Texas.

5. Issues for Appeal

Appellant intends to raise the following issues on appeal (subject to modification in the appellate brief):

Issue 1: Whether the evidence was legally sufficient to support the jury's finding that Vertex Solutions LLC materially breached the Software Development Agreement.

Issue 2: Whether the trial court erred in denying Vertex's Motion for Summary Judgment because the undisputed evidence established that the software conformed to the contractual specifications.

Issue 3: Whether the trial court erred in its interpretation of the contract term "acceptable industry tolerances" as presenting a fact question for the jury rather than a question of law for the court.

Issue 4: Whether the damages awarded to GreenLeaf Technologies, Inc. were supported by legally sufficient evidence.

6. Supersedeas

Appellant will file a supersedeas bond or make alternative security arrangements to suspend enforcement of the judgment pending appeal.
